The Electric Vehicle Giant Shareholders to Cast Their Ballots on Mammoth $1 Trillion Pay Plan for Chief Executive the Tech Mogul

Tesla shareholders gathered on Thursday to vote on a massive compensation package for Chief Executive Elon Musk valued at nearly $1 trillion. Should it pass, this package would signal investor confidence that the tech magnate can steer the vehicle manufacturer into an era dominated by artificial intelligence and robotics. If rejected, Tesla could risk the departure of a key figure who previously established the brand interchangeable with electric vehicles.

Historic Goals and Company Valuation

If the CEO meets the lofty objectives specified in the compensation plan introduced at Tesla's annual meeting, he could emerge as the world's first person with a trillion-dollar net worth. To reach this goal, he must guide Tesla to a staggering $8.5 trillion in company worth, which is 800% of its current valuation. Moreover, he will be required to launch countless autonomous vehicles and advanced androids, while maintaining the financial performance in the hundreds of billions of dollars in the upcoming decade.

Compensation Structure

The key aims of the pay package, split into a dozen phases, outline a path for Tesla to attain its massive market capitalization. If successful, Musk would be eligible to benefit from an extra 12% of the company's stock. For this to occur, he must remain vested with the company for no less than 7.5 years. Furthermore, he is required to contribute to forming a corporate transition roadmap for the business he has headed for more than 20 years. The share grants offered by the new compensation plan, alongside shares guaranteed in his earlier deal, would result in Musk with a quarter stake of Tesla's stock. As of early November, Tesla stock was trading near its yearly maximum, at approximately $450 per stock.

Ambitious Targets

During a ten-year period, Musk will be tasked to manufacture 20 million zero-emission cars to customers, distribute 10 million active full self-driving subscriptions, produce and launch 1 million advanced androids, and introduce 1 million self-driving cabs in revenue-generating use.

Musk will also be obligated to increase the company to $400 billion in actual earnings for four consecutive quarters. Tesla's tangible revenue for the third quarter of 2025 were $4.2 billion, 9 percent lower from the previous year.

By November, Musk's personal wealth was estimated at $460 billion, the top in the planet, as reported by market tracking.

Restoring a Rescinded Deal

Stockholders are additionally considering a plan that would compensate Musk after his previous pay package was overturned by a court in Delaware. The pay plan, worth an estimated $56 billion, was challenged by a sole shareholder who succeeded legally. The Delaware judicial system rejected Musk's remuneration deal on multiple instances. Upon stockholder approval the arrangement in Thursday's vote, Musk is set to be awarded the huge sum whether or not Tesla and Musk overturn the ruling of the case.

Following Musk's 2018 pay package was first rescinded, he transferred Tesla's legal headquarters out of Delaware and into Texas. He did the same with his aerospace company and additional corporate bases. In last year, under Texas law, shareholders again approved the compensation plan.

But Delaware's known as "judicial body" again denied one of the largest CEO pay deals in modern history. In the wake of that adverse judgment, Musk used online platforms to express dissatisfaction with the state and its "activist chief judge", arguably igniting a series of corporate exits that Delaware officials have attempted to staunch with legislation.

In evaluating whether Musk had excessive control in being awarded that 2018 pay package, a noted legal scholar commented that the court noted that other "celebrity leaders" like Meta's Mark Zuckerberg and the e-commerce pioneer were not granted this type of goal-oriented agreements.
